End User License Agreement

Introduction and Acceptance

This End User License Agreement ("Agreement") is a legal contract between you and Feel-Good MSP, operated by Virtual VP LLC ("we," "us," or "our"). By accessing or using our services, you agree to these terms. If you don't agree, please don't use our services.

Services Description

Our services include:

  • Sales training platform and reporting tools
  • Educational content related to sales and marketing techniques
  • MSP Accelerator program features
  • Foundations program features
  • Any related services we may provide in the future, including community forums, interactive features, AI integrations, and/or other digital enhancements. 

License Grant

Upon payment and registration, we grant you a limited, non-exclusive, non-transferable license to:

  • Access and use our platform and content
  • Participate in community features
  • Use reporting and analytics tools
  • Use AI-powered content creation tools 
  • Download permitted materials

This license is for your personal and internal business use only.

Restrictions

You may not:

  • Copy, modify, or create derivative works from our services
  • Reverse engineer or attempt to discover our source code
  • Rent, lease, sell, or distribute our services
  • Remove or alter any proprietary notices
  • Use our services for anything illegal or unauthorized
  • Share identifying information about clients, vendors, or prospects 

Your Account

You're responsible for:

  • Maintaining the confidentiality of your account and password
  • Restricting access to your computer
  • All activities that occur under your account

You may not transfer your account to anyone else without our permission. 

Electronic Communications

By using our services, you consent to receive electronic communications from us. You agree that any notices, agreements, disclosures, or other communications we provide electronically satisfy any legal requirement for written communication. 

Payment Terms

Access to our services may require subscription fees as specified on our website or in written agreements. Payments are due on the date specified on invoices.

If payment isn't received by the due date, we may suspend or terminate your access until payment is received. We may charge a late fee of 5% per month on overdue amounts. 

Ownership and Intellectual Property

All rights, title, and interest in our services, including intellectual property rights, remain our exclusive property. This Agreement doesn't give you ownership of anything.

We reserve the right to remove any shared information that violates our community guidelines. 

Content License

By providing content (including photos, videos, reviews, and comments), you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, publish, distribute, and display such content for any purpose, including promotional and commercial purposes. 

You represent that you have the necessary rights to provide this content and that it doesn't infringe on third-party rights. 

Media Release

By using our services, you acknowledge and agree that Feel-Good Close may record, photograph, or otherwise capture your likeness, voice, statements, and participation during:

  • Training sessions and webinars (live or recorded)
  • Community forum discussions and interactions
  • Video testimonials or feedback sessions
  • Platform demonstrations or promotional activities
  • Any other activities conducted through our services

You hereby grant Feel-Good Close and Virtual VP LLC a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, edit, modify, publish, distribute, and display such recordings, photographs, or other media in any format or medium for:

  • Educational and training purposes
  • Marketing and promotional materials
  • Website content and social media
  • Sales presentations and demonstrations
  • Case studies and success stories
  • Any other business purposes

You waive any right to inspect or approve the finished product or any written copy that may be used in connection with such media. You release Feel-Good Close from any claims arising from the use of such media, including but not limited to claims for invasion of privacy, defamation, or violation of publicity rights.

Opt-Out Rights: If you do not wish to be recorded or photographed during specific sessions, you may notify us in advance, and we will make reasonable efforts to accommodate your request where technically feasible.

You represent that you have the authority to grant these rights and that no third-party permissions are required for the use of your likeness or statements as described herein.

Community Standards

When using our community features:

  • Treat others with respect, recognizing diverse backgrounds and viewpoints 
  • Share knowledge and celebrate others' successes 
  • Handle information responsibly and follow your company's privacy policies 

We reserve the right to revoke your access at our discretion for failure to comply with these standards.

Communication Services

Our platform may contain forums, chat areas, communities, and other communication facilities. When using these services, you agree to post only appropriate content and not to:

  • Defame, harass, or threaten others
  • Post inappropriate or unlawful material
  • Upload files containing viruses or protected intellectual property
  • Conduct surveys, contests, or chain letters
  • Falsify information or restrict others' use 

We reserve the right to review and remove materials at our discretion and terminate your access without notice. 

Updates and Modifications

We may provide updates, upgrades, or add third-party integrations to our services. This Agreement will govern any updates unless accompanied by a separate agreement. 

Termination

This Agreement remains effective until terminated. We may terminate your access immediately if you violate these terms. Upon termination:

  • You must stop using our services
  • Delete any copies in your possession
  • You remain responsible for any fees incurred before termination
  • No refunds will be provided 

Cancellation and Pause Policy

Accelerator Program

Membership can be canceled at annual renewal with a minimum  10 days' notice.

Your membership may be eligible for a pause (maximum one 90-day pause per two-year period) for:

  • Loss of key personnel critical to program participation
  • Active engagement in acquisition or merger
  • Severe extenuating circumstances 

Foundations Program

Your membership can be cancelled at any time by submitting your request to “fgcteam@feelgoodclose.com” or cancelling in the Billing section of your HQ profile at least three (3) business days before your next payment date.

There is no pause policy for Foundations. 

International Users

If you access our services from outside the USA, you're responsible for complying with local laws. 

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES. WE DON'T GUARANTEE THAT OUR SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC NEEDS. 

Limitation of Liability

TO THE EXTENT ALLOWED BY LAW, WE WON'T BE RESPONSIBLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES RELATED TO YOUR USE OF OUR SERVICES, INCLUDING LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES. 

Indemnification

You agree to indemnify and hold us harmless from any claims, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of this Agreement, or infringement of rights. 

Dispute Resolution

Any disputes will be resolved through binding arbitration administered by the American Arbitration Association under the Federal Arbitration Act. This means you waive your right to a jury trial or to participate in a class action lawsuit. 

Class Action Waiver

You agree that any proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. 

Governing Law

This Agreement is governed by California law, regardless of conflict of law principles. 

Changes to Agreement

We reserve the right to modify this Agreement at any time. The most current version will supersede all previous versions. We encourage you to review this Agreement periodically. 

Complete Agreement

This Agreement represents the entire understanding between you and Feel-Good Close regarding our services and replaces any previous agreements or discussions.
